{"id":92874,"date":"2020-05-11T17:05:20","date_gmt":"2020-05-11T15:05:20","guid":{"rendered":"http:\/\/uncommonegg.com\/dayco\/dayco-poland-and-dayco-aftermarket-poland-merger-2020\/"},"modified":"2021-09-22T17:53:59","modified_gmt":"2021-09-22T15:53:59","slug":"dayco-poland-and-dayco-aftermarket-poland-merger-2020","status":"publish","type":"post","link":"https:\/\/uncommonegg.com\/dayco\/fr\/dayco-poland-and-dayco-aftermarket-poland-merger-2020\/","title":{"rendered":"Dayco Poland and Dayco Aftermarket Poland Merger"},"content":{"rendered":"<p><strong>May 11, 2020<\/strong>\u00a0\u2013 We hereby inform that on 30 April 2020 the registry court of the National Court Register competent for the registered office of Dayco Poland Sp. z o. o. made an entry of the merger of Dayco Poland Sp. z o. o., with its registered office in Tychy (as the acquiring company) with Dayco Aftermarket Poland Sp. z o. o., with its registered office\u00a0 in Warsaw (as the acquired company).<\/p>\n<p>The merger was effected pursuant to Article 492 \u00a7 1 item 1 of the Polish Commercial Companies Code (the \u00ab\u00a0<strong>CCC<\/strong>\u00ab\u00a0) by transferring all assets of the acquired company to the acquiring company. Since the acquiring company was the sole shareholder of the acquired company, pursuant to Article 516 \u00a7 6 of the CCC, the merger was effected in a simplified procedure. As a consequence, Dayco Aftermarket Poland Sp. z o. o. will be dissolved without liquidation on the day of its deletion from the register.<\/p>\n<p>Therefore, pursuant to Article 494 \u00a7 1 of the CCC, as of the merger date, i.e. as of 30 April 2020, Dayco Poland Sp. z o. o. entered into all rights and obligations of Dayco Aftermarket Poland Sp. z o. o. This means that as of the merger date Dayco Poland Sp. z o. o. became a party to all agreements concluded in the past by Dayco Aftermarket Poland Sp. z o. o., provided that they are still in force, and the Customers and Contractors of Dayco Aftermarket Poland Sp. z o. o. are currently Customers and Contractors of Dayco Poland Sp. z o. o.<\/p>\n<p>This has been done by law, without the need for any annexes or additional agreements.<\/p>\n<p>However, please note the above change in your records and registers.<strong>\u00a0<\/strong><\/p>\n<p><strong>Below we indicate the full registration data of the acquiring company:<\/strong><\/p>\n<p>Dayco Poland sp\u00f3\u0142ka z ograniczon\u0105 odpowiedzialno\u015bci\u0105<br \/>\nul.
