Towarowa 28, 00-839 Warszawa<br \/>\n<em>Register Designation<\/em>: The District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register<br \/>\n<em>Register Entry Number<\/em>: 0000502243<br \/>\n<em>Share Capital<\/em>: PLN 100,000<\/p>\n<hr \/>\n<p>&nbsp;<\/p>\n<p>The merger shall be effected pursuant to Article 492 \u00a7 1 (1) of the CCC by transferring to the Acquiring Company all of the assets and liabilities of the Acquired Company.<\/p>\n<p>Bearing in mind that the Acquired Company is a single-member subsidiary of the Acquiring Company the merger shall be effected under the simplified merger procedure as referred to in Article 516 \u00a7 6 of the CCC.<\/p>\n<p>In accordance with Article 493 \u00a7 1 of the CCC the Acquired Company shall be dissolved without going into liquidation, a of the day of its deletion by the court from the Register of Entrepreneurs of the National Court Register.<\/p>\n<p>According to Article 494 \u00a7 1 of the CCC, as a result of the merger, the Acquiring Company will enter into all rights and obligations of the Acquired Company as at the merger date. In particular, on the merger date, all licenses, concessions and reductions granted to the Acquired Company, shall be transferred to the Acquiring Company unless the act or the decision on granting the license, concession or reduction provides otherwise.<\/p>\n<p>On the merger date, in accordance with art. 93 \u00a7 2 of the Tax Ordinance, the Acquiring Company shall enter into all the rights and obligations of the Acquired Company, as provided for in the provisions of the tax law.<\/p>\n<p>The merger plan is below:<\/p>\n<p><a href=\"http:\/\/uncommonegg.com\/dayco\/wp-content\/downloads\/Dayco%20Poland%20Merger%20Plan.pdf\" target=\"_blank\" rel=\"noopener noreferrer\"><img loading=\"lazy\" decoding=\"async\" class=\"alignnone size-full wp-image-82664\" src=\"http:\/\/uncommonegg.com\/dayco\/wp-content\/uploads\/adobe-pdf-iconbig.png\" alt=\"Adobe Pdf Iconbig\" width=\"54\" height=\"70\" \/><\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>December 30, 2019 \u2013 Managment Board of Dayco Poland sp\u00f3\u0142ka z ograniczon\u0105 odpowiedzialno\u015bci\u0105, with its registered office in Tychy (Poland), address: ul.
